New York IP partner Oren Epstein advises clients on a range of transactional and advisory matters relating to intellectual property, technology, and more across various industries, such as food and beverage, retail, sports and entertainment, financial services and technology.
He regularly structures, drafts and negotiates licensing arrangements (including trademark, software and information technology, content, patent, endorsement and rights of publicity, pharmaceutical, know-how and other licensing agreements), sponsorship agreements, sourcing agreements, trademark co-existence agreements and general commercial relationships (including supply and distribution agreements, manufacturing agreements, services agreements and consignment agreements). He also advises clients on matters regarding obtaining, protecting and enforcing trademarks and copyrights, and has extensive experience with the intellectual property and technology aspects of general corporate transactions, such as initial public offerings, mergers, acquisitions, spin-offs and divestitures, financings, joint ventures and securities offerings.
Mr. Epstein has been named one of Lawdragon’s 500 Leading Global IP Lawyers and 500 Leading Dealmakers in America and repeatedly selected as a Rising Star in the Trade Marks category of Euromoney Legal Media Group’s annual Rising Stars awards, in addition to being selected as a recipient of a Lawyers Alliance Cornerstone Award for his outstanding work on pro bono matters.

Corporation in its acquisition of a 75% stake in Comvest Credit
Partners through its global wealth and asset management
segment for $938 million upfront and $338 million in future
milestone payments, with the transaction agreement also
providing Manulife the ability to purchase the remaining 25%
through a put/call mechanism, offering flexibility for full
ownership in the future. Announced in August 2025, this cross
border transaction gives Manulife immediate scale in private
credit, a sector that is increasingly important for institutional
investors seeking diversification and yield. The transaction
further aligns with industry trends of large insurers and asset
managers growing their alternatives business through organic
and inorganic channels. - With guidance from Oren Epstein, Skadden provided counsel to
Castillo Hermanos on the intellectual property aspects of its
acquisition of Harvest Hill Beverage Company — the owner of
well-known U.S. brands such as SunnyD®, Juicy Juice® and
Little HUG® — from Brynwood Partners. This transaction
represents a major milestone for Castillo Hermanos, which
operates in over 35 countries, as it extends its reach beyond
Latin America and strengthens its position in the U.S. beverage
market. In collaboration with investment firm Centerview
Capital, the company aims to leverage Harvest Hill’s extensive
national distribution network, manufacturing capabilities and
broad consumer base. - dvised Brown & Brown, one of the world’s largest insurance
brokers, in its landmark $9.8 billion acquisition of RSC Topco,
the holding company for Accession Risk Management Group.
This transformative transaction closed in August 2025 and is
one of the largest in the insurance sector in recent years,
significantly expanding Brown & Brown’s specialty insurance
platform which positions the company as a dominant force in
the specialty and wholesale insurance markets. - Oren was lead IP and Technology partner advising Honeywell
International Inc. in the spin-off of Solstice Advanced
Materials, its advanced materials business, into an
independent, publicly traded company. Oren and Skadden’s
IP&T team offers extensive experience with M&A transactions
to Honeywell, which Skadden has advised on numerous
transactions since 2020. - Oren is a lead partner advising F.N.B. Corporation in its
sponsorship agreement with the Pittsburgh Penguins,
including becoming exclusive banking and financial services
partner. This transaction, announced in September 2025, will
make FNB the first partner to have their logo appear on the
team’s jerseys for all home and road games. Oren’s practice
regularly intersects sports and IP-related matters across
various transactions.
